Tender for the Design, Fabrication, Supply, Delivery, Erection, Commissioning, Testing and Warranting of Pneumatic Continuous Ship Unloaders, Additional Services and Spare Parts

(the "Tender")

Further to the announcement made on July 3, 2008 (the "Original Announcement") with respect to the Tender, Ashdod Port Company ("APC") wishes to inform as follows:

1. APC wish to amend its invitation for proposals as announced in the Original Announcement as following:
   APC hereby invites proposals from suppliers of Unloaders for Design, fabrication, supply, delivery, erection, commissioning, testing and warranting of Two (2) Pneumatic Continuous Ship Unloaders for the unloading of grains and Grain Products from vessels as set forth in the Technical Specifications of the Tender documents (each an “Unloader”, and collectively the "Unloaders"), Basic Training and Technical Support, as well as Optional Technical Support, Optional Features and Optional Spare Parts, all as defined in the Tender documents.
   
   APC shall have the option (the "Unloader Option"), at its sole discretion, for a period of five (5) years from the date of its signing of the Agreement with the selected Proposer, to purchase up to one (1) additional Unloader, at the same terms of the two (2) Unloaders previously purchased. Notwithstanding the aforementioned, the price of the Unloader Option (if exercised by the APC), as of the second (2nd) year of the Agreement, may be increased by up to three (3%) percent, per each year, subject to negotiations conducted in good faith with the APC.

2. Technical Proposals should be submitted during ordinary working hours (08:00 – 16:00 Israel time), no later than Thursday April 30, 2009, to:

3. The Tender documents are available as of March 24, 2009, upon payment of 3,900 NIS (including VAT) not refundable, at:

4. For the sake of good order, please note that the term "Affiliated Company" as indicated in Section 2 of the Original Announcement shall have the meaning ascribed to it in the Israeli Securities Law, 1968.

5. All other provisions included in the Original Announcement remain the same.

6. Proposers who have submitted already their Proposal, are not allowed to submit in accordance with Section 2 above, new or updated proposal.
