Further to the announcements made on 14.4.2011, 1.6.2011, 28.7.2011 and 15.8.2011 with respect to the Tender, Ashdod Port Company Ltd. ("APC") wish to inform as follows:
- The last date set for submission of the Technical Proposals, as specified in Section 3 to the Announcement of 14.4.2011, is hereby postponed to Sunday, October 23, 2011 at 14:00 IL time.
- Notwithstanding Section 9 to the IFP, Proposer's may not submit any further requests or clarifications to the Tender.

Further to the announcement made on April 14, 2011 as amended on 01.06.11 the "Original Announcement") with respect to the Tender, Ashdod Port Company ("APC") wishes to inform of amendments to the Original Announcement, as follows:
- Section 1.4 to the Original Announcement shall be modified and read as follows:
"As of January 1, 2006, Proposer has supplied at least four (4) STS cranes, for the purpose of handling containers from vessels, with span between 15 to 20 meters; and".
- Section 1.5 to the Original Announcement shall be modified and read as follows:
"As of January 1, 2001, Proposer has supplied at least five (5) STS cranes, for the purpose of handling containers from vessels, with an - outreach of no less than 40 meters long, - and with span between 15 to 20 meters, - and with capacity of no less than 73 tons under the ropes; and"
- The last date set for submission of the Technical Proposals, as specified in Section 3 to the Original Announcement, is hereby postponed to Monday, September 26, 2011 at 14:00 IL time.
- Notwithstanding the provisions of Section 9 to the Invitation for Proposals document the last date for submission of clarifications to the Tender is hereby set to Monday, September 5, 2011.
- All other provisions included in the Original Announcement remain the same.

Pursuant to the Government Procurement Agreement (GPA), the Mandatory Tenders Law, 1992 and the Mandatory Tenders Regulations, 1993, Ashdod Port Company Ltd. ("APC") hereby invites proposals ("Proposals") from suppliers of Ship to Shore Cranes (the "Proposer(s)") for:
Design, fabrication, supply, delivery, erection, commissioning, testing and warranting of two (2) Ship to Shore Cranes, as set forth in the Technical Specifications of the Tender (the “Cranes”), Basic Training and Technical Support, as well as Optional Technical Support, Optional Features and Optional Spare Parts, all as defined in the Tender documents.
APC shall have the option, at its sole discretion, for a period of five (5) years from the effective date of the Agreement with the selected Proposer, to purchase up to two (2) additional Cranes at the same terms of the first purchase under the Agreement (the "Crane Option").
Notwithstanding the aforementioned, the price of the Crane Option (if exercised by the APC) as of the second (2nd) year of the Agreement, may be increased by up to two (2%) percent, per each year, subject to negotiations conducted in good faith with the APC.
- Pre-requisites
Proposers who maintain all conditions set forth below shall be entitled to participate in this Tender.
APC may recognize, at its sole discretion, the prerequisite conditions set forth in Sections 1.1 - 1.6 herein, as fulfilled by Affiliated Companies of the Proposer and/or by companies that have been sold to and/or merged into the Proposer, insofar as this took place prior to issuance of this tender. APC may recognize, at its sole discretion, the prerequisite condition set forth in Sections 1.7 and 1.8 herein, as fulfilled by Affiliated Companies of the Proposer.
“Affiliated Company” shall mean (i) a subsidiary company wholly or partially owned by the Proposer, or (ii) the Proposer’s parent company, or (iii) affiliated company of the Proposer (as defined in the Securities Act, 1968), or (iv) company which is conglomerated with the Proposer in the same group of companies; which are to be approved by the APC at its sole and absolute discretion, and subject to any conditions which it may choose to apply.
1.1 Starting as of January 1, 2006, Proposer has supplied at least twenty (20) Ship to Shore ("STS") cranes, for the purpose of handling containers from vessels; and
1.2 Proposer has supplied at least one (1) STS crane, for the purpose of handling containers from vessels, in each year during at least eight (8) years as of January 1, 2001; and
1.3 As of January 1, 2006, Proposer has supplied at least twenty (20) STS cranes, for the purpose of handling containers from vessels, with an outreach of no less than 40 meters long; and
1.4 As of January 1, 2006, Proposer has supplied at least five (5) STS cranes, for the purpose of handling containers from vessels, with span between 15 to 19 meters; and
1.5 As of January 1, 2001, Proposer has supplied at least five (5) STS cranes, for the purpose of handling containers from vessels, with an outreach of no less than 40 meters long, and with span between 15 to 19 meters, and with capacity of no less than 73 tons under the ropes; and
1.6 Proposer has supplied at least 2 (two) STS cranes, for the purpose of handling containers from vessels, which are in operation prior January 1, 2009 and incorporate the following features (not necessarily all the features on the same crane):
- Boom Structure - single box girder (W.S. and L.S.).
- Crane configuration - full machinery on trolley (FMT)
- Electrical system - full AC drives system with installed capacity of min. 1500 KVA; and
1.7 Proposer's organizational structure includes R&D and design operations, erection crews, quality assurance and post-sale services for STS cranes; and
1.8 Proposer is certified according to ISO 9001:2000 or ISO 9001:2008 or an equivalent standard in the subject field, approved by the APC; and
1.9 Compliance with the Technical Mandatory Requirements (TMR) of the Tender;
- The Cranes shall be delivered and accepted by APC in accordance with the Agreement and the Technical Specifications no later than eighteen (18) months as of the effective date of the Agreement.

- APC is not obligated to accept the most inexpensive proposal or any other proposal. APC reserves the right to reject any or all Proposals and to re-advertise or to cancel the invitation for Proposals process.
- APC reserves the right to negotiate with selected Proposers.
- The selected Proposer shall be subject to industrial cooperation commitments all in accordance with the Mandatory Tender Regulations (Mandatory Industrial Cooperation) – 2007.
- Proposer whose business is being controlled by a woman shall be preferred in this Tender, in accordance with and subject to Section 2B to the Mandatory Tenders Law, 1992.
- The Tender documents are available as of Sunday, May 1, 2011 at the chamber of the head of Procurement Department, Equipment Department Building, 1st floor, Port of Ashdod ,Israel following payment of 2,000 NIS, including VAT, not refundable at APC's accounting department.
